In June 2023, Edita Group announced the sale of its subsidiary Edita Prima Oy to PostNord Strålfors, a Nordic communications solution provider. At that time, it was stated that the transaction is subject to the approval of the Finnish Competition and Consumer Authority (“FCCA”). On 3 November 2023, FCCA informed that it deems it necessary to continue investigating the competitive impacts of the acquisition. In December, FCCA told that based on its investigation so far, it is unlikely that the acquisition could be cleared unconditionally.
After careful examination of the FCCA’s views on the competitive impacts of the transaction, including those presented in its decision to continue to further proceedings, Edita Group and PostNord Strålfors have unanimously decided to abort the transaction and continue their respective businesses as separate companies.
“We believe that together with PostNord Strålfors Edita Prima could have served its customers even more comprehensively. The cancellation of this transaction is very unfortunate. While FCCA had not yet announced its final resolution in the case, we did not see it feasible to continue the process anymore. Edita Prima continues its operations as a provider of printed and digital customer communications services within Edita Group, just like before. The management and personnel of Edita Prima have done great work, resulting in growth and success. Edita Prima’s financial performance in 2023 was very strong and we will continue developing the company further”, says Kristiina Kujala, interim CEO, CFO of Edita Group.
